1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the corporate entity you represent ("Client," "you") and StewardAxis LLC ("StewardAxis," "we," "our," or "us"), a specialized technical systems and software architecture consultancy registered in the State of New Mexico, United States.

By accessing our website (stewardaxis.com), booking a technical audit, or executing a Statement of Work ("SOW") with StewardAxis LLC, you agree to be bound by these Terms.

2. Scope of Services

StewardAxis LLC provides specialized software engineering and systems architecture consulting services, including but not limited to:

• Custom internal operations tooling and workflow automation.
• Enterprise relational database schema modeling, indexing, and query optimization.
• Distributed systems integration, API engineering, and middleware development.
• Prototype hardening, technical debt remediation, and production infrastructure reviews.

Specific project deliverables, milestones, fees, and acceptance criteria are formalized in individual SOWs or written consulting agreements entered into between the parties.

3. Intellectual Property Rights

Client Deliverables: Upon receipt of full and final payment for the applicable engagement, StewardAxis LLC assigns to Client all right, title, and interest in and to custom code, architectural schemas, and documentation developed specifically for Client under an executed SOW.

Pre-existing Materials & Tooling: StewardAxis LLC retains sole ownership of any pre-existing proprietary tools, algorithms, generalized libraries, and design patterns utilized in performing the services. To the extent embedded in client deliverables, StewardAxis LLC grants Client a perpetual, non-exclusive, worldwide, royalty-free license to use such pre-existing materials.

4. Fees, Billing & Invoicing

Clients agree to pay all agreed-upon consulting fees in accordance with the payment schedule established in their invoice or SOW.

• Invoices are denominated in United States Dollars (USD) unless otherwise specified in writing.
• Payments must be remitted via approved corporate channels (electronic bank transfer, ACH, wire, or authorized merchant processors including Payoneer, Stripe, Mercury, or Wise).
• Payment is due within thirty (30) days from the invoice date unless alternative terms are explicitly agreed upon in writing.

5. Confidentiality

Each party agrees to safeguard the confidential and proprietary information of the other party with the same degree of care it exercises with its own confidential information, and in no event less than a reasonable standard of care. This obligation extends to non-public source code, database architectures, financial models, and business operations.

6. Warranties & Disclaimers

StewardAxis LLC warrants that services will be performed in a professional, workmanlike manner in accordance with recognized industry engineering standards.

Except as expressly set forth herein, all services, audit findings, and software deliverables are provided "AS IS," and StewardAxis LLC disclaims all other warranties, whether express, implied, or statutory, including warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business interruption) arising out of or related to these Terms.

The total aggregate liability of StewardAxis LLC for any claim arising out of an engagement shall not exceed the total fees paid by Client to StewardAxis LLC under the applicable Statement of Work in the six (6) months preceding the incident.

8. Governing Law & Dispute Resolution

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of New Mexico and the federal laws of the United States, without regard to conflicts of law principles. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in the State of New Mexico, United States.
